SIGNAL TERMS OF SERVICE

These Terms of Service ("Terms") govern access to and use of Signal, the AI-assisted customer relationship management and agency management platform (the "Platform") operated by CloseMode AI LLC ("CloseMode AI," "we," "us," or "our"), founded and operated by Rhett Hale of Summerfield, Florida. By accessing or using Signal, you ("Member," "you," or "your") agree to be bound by these Terms. If you do not agree, you may not access or use Signal.

Signal is a CRM and agency-management platform built for independent life insurance producers and agency owners. Signal's features include, among others: pipeline and deal tracking; internal team communication; an AI-assisted personal assistant available to eligible Members; automated quality scoring of AI-assisted communications; production analytics and leaderboards; compensation and payout tracking; a Member performance and rewards system (the "Packet System") as described in Section 5; and, where enabled for a Client Agency, connected third-party integrations such as social media messaging. Not all features are available to all Members; availability depends on the terms of your Client Agency's agreement with CloseMode AI and your Member role.

Signal is made available exclusively through a sponsoring insurance agency (a "Client Agency") that has entered into a separate services agreement with CloseMode AI governing that agency's subscription, seat pricing, and related commercial terms (the "Agency Agreement"). Individual Members access Signal as authorized users under their Client Agency's account, subject to the access level their Client Agency assigns them. These Terms govern your individual use of the Platform; the commercial terms of your access are governed by the Agency Agreement between CloseMode AI and your Client Agency.

You agree to provide accurate registration information, to keep your login credentials confidential, and to notify us promptly of any unauthorized use of your account. You are responsible for all activity that occurs under your account. Where Signal requires or displays an NPN or license status, you represent that the information you provide is accurate and that you hold any license required for the insurance activity you track through the Platform.

You agree not to:

• Access or attempt to access any account, agency data, or Lead information you are not authorized to view
• Use the Platform to violate any applicable law, including insurance solicitation and advertising rules, the TCPA, or data privacy law
• Attempt to circumvent Signal's security or access controls
• Share your account credentials with any unauthorized person
• Use the Platform in any manner that could damage, disable, or impair Signal, or interfere with another Member's or agency's use of it
• Use AI-generated content from Signal without review, personalization, and approval prior to sending to any Lead or client

As between you and CloseMode AI, your Client Agency retains ownership of the Lead, client, and policy data it and its Members submit to Signal. You are solely responsible for the lawfulness of any data you input into Signal, including obtaining any consent required to contact a Lead, and for your own compliance with insurance recordkeeping, privacy, and consumer-protection law applicable to your book of business. CloseMode AI's collection and handling of that data as Platform operator is described in the Signal Privacy Policy.

If a Member's access to Signal is terminated — whether by the Member, the Client Agency, or CloseMode AI — that Member's access to the Platform ceases immediately. Data the Member entered into Signal during their active period remains within the Client Agency's account and is subject to the terms of the Agency Agreement between CloseMode AI and that Client Agency. CloseMode AI is not responsible for providing individual data exports to departing Members; Members should direct such requests to their Client Agency.

CloseMode AI may suspend or terminate your individual access to Signal for breach of these Terms, unlawful use of the Platform, or a security risk to Signal or other Members, subject to any notice and cure procedures set out in the applicable Agency Agreement. Termination or suspension of your Client Agency's account is governed by the Agency Agreement between CloseMode AI and your Client Agency.

SIGNAL IS PROVIDED "AS IS" AND "AS AVAILABLE." CLOSEMODE AI DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION OF THE PLATFORM, THE ACCURACY OF ANY AI-GENERATED CONTENT, SCORE, QUOTE, OR UNDERWRITING SUGGESTION, OR ANY PARTICULAR LEAD QUALITY, LEAD VOLUME, CONVERSION RATE, OR PRODUCTION OUTCOME. YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY VERIFYING ANY CARRIER ELIGIBILITY, RATE, OR COMPLIANCE INFORMATION SIGNAL PRESENTS BEFORE RELYING ON IT.

Signal, including its software, source code, design, scoring methodology, Packet System, and all related intellectual property, is and remains the exclusive property of CloseMode AI. Subject to your Client Agency's Agency Agreement and continued good standing, you are granted a limited, non-exclusive, non-transferable right to access and use Signal for your Client Agency's internal life insurance business, and for no other purpose. Nothing in these Terms transfers any ownership interest in Signal to you or your Client Agency.

TO THE FULLEST EXTENT PERMITTED BY LAW, CLOSEMODE AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF SIGNAL. CLOSEMODE AI'S TOTAL AGGREGATE LIABILITY TO YOU UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOUR CLIENT AGENCY PAID TO CLOSEMODE AI, ATTRIBUTABLE TO YOUR SEAT, IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify and hold CloseMode AI harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your unlawful use of the Platform, or data you submit to Signal in violation of applicable law.

CloseMode AI shall not be liable for any delay or failure to provide access to Signal resulting from causes beyond its reasonable control, including acts of God, war, natural disaster, government action, internet or utility failure, or third-party platform outages ("Force Majeure Event"). CloseMode AI will provide prompt written notice of any such event. If a Force Majeure Event persists beyond thirty (30) days, either party may terminate the applicable Agency Agreement without liability.

The parties agree to first attempt to resolve any dispute arising from these Terms through good-faith negotiation. If unresolved after thirty (30) days, the dispute will be submitted to non-binding mediation in Marion County, Florida, before proceeding to binding arbitration in the same venue, except that either party may seek injunctive relief in a court of competent jurisdiction at any time.

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles, and the parties submit to the exclusive jurisdiction of the courts of Marion County, Florida for any matter not subject to arbitration above.

We may update these Terms from time to time. Material changes will be communicated to Client Agencies in advance of taking effect. Continued use of Signal after changes take effect constitutes acceptance of the updated Terms.
